About the Role:

This is a fully on-site position located in Stamford, Connecticut.

As an Associate General Counsel, you'll be the third member to join the legal team, reporting directly to the CLO and serve as a strategic legal partner to business teams. Flex your generalist capabilities as you work on a wide variety of corporate and commercial legal matters, including financing transactions, M&A, NDAs, vendor agreements, and more.

 

Responsibilities:

  • Act as a trusted advisor to internal teams on all legal and regulatory developments affecting the business.
  • Stay up to date on relevant energy laws and regulations that effect a public company.
  • Prepare, review and draft various agreements, including lease agreements, power purchase agreements, membership interest purchase agreements, development agreements, consulting agreements, and complex commercial agreements.
  • Perform due diligence in connection with solar acquisitions and negotiate financing facility documentation and tax equity transaction documentation.
  • Liaise with local utilities and municipalities on various permissions and approvals relating to the provision of clean energy.
  • Build and maintain scalable and effective processes for providing legal input to the business to develop procedures related to vendor management, risk, sustainability, and corporate governance and to monitor compliance with such policies.

 

About You:

  • 1-3 years of relevant transactional legal experience at a top tier law firm and/or in-house, particularly in connection with clean energy platforms with expertise advising on corporate and contractual matters.
  • Deep understanding of commercial contracts, including development agreements, financing agreements, purchase agreements and power purchase agreements.
  • Ability to provide strategic legal advice for all aspects related to owning, originating, developing, and operating locally sited solar generation, energy storage and EV charging facilities, and the desire to learn about regulations concerning the provision of clean energy as well as public companies.
  • Experience working with engineering/hardware vendors
  • Exceptional communication and project management skills, including a strong desire and ability to convert complex topics understandable for various audiences.
  • JD and bar admission in good standing in NY.
