Vice President, Private Fund Formation Counsel @ Leading Asset Manager


The Real Estate Legal team of one of the world’s leading investment firms (everyone would know their name if they let us name them) has asked us to help them recruit TWO additional exceptional fund formation/investment management lawyers with either 3-6 years (AVP), or 7-9 years (VP) of experience in elite practice environments. Real Estate/REIT experience is not necessarily required, as long as you have a strong handle on complex fund formation transactions. For the mid-level position, you should have a strong handle over relevant regulations related to the operation and communications of a U.S. public company and offshore private funds, including application of Regulation D, Regulation S, “world sky” laws and AML/KYC. As a senior attorney, you should have excellent business judgment, negotiation skills, and a facility for understanding waterfall provisions, management services arrangements, side letters with key investors, permitted investments concepts and financing transactions.
