About the Role:

Rainfall Ventures is searching for an exceptional candidate to manage Rainfall’s legal and compliance needs. This role reports to the VP of Finance & Operations and will collaborate closely with the senior partnership and benefit from day-to-day assistance from more junior team members. The General Counsel will deliver best-in-class legal support to Rainfall through direct advice as well as developing and managing relationships with external counsel.

Responsibilities:

External Functions: Transactions – Structure, review and manage all documents related to making an investment, including necessary adjustments and side-letters; Manage due diligence processes and play a key role in negotiations Investor Relations and Capital Raising – Review and negotiate the LPA and related fundraising documents (teasers, pitch decks, etc.), and draft and review communications and other materials provided to Limited Partners Commercial Contracts – Draft, review and negotiate all contracts and engagement letters between Rainfall and counterparties; address any disputes that may arise Internal Functions: Organization Management – The General Counsel will be responsible for optimizing the structure of Rainfall overall and for each new vehicle we launch, as well as managing intangibles like trademarks and web domain strategy Compliance, Operations, and HR – As Rainfall grows, we need to further develop and monitor robust policies around KYC/AML and trading as well as regulatory reporting, filings, and general compliance. Our growth will also require oversight of human resources-related work streams, including policies and systems to meet these requirements
