About the Role:

As General Counsel, you'll lead the Company as the chief legal officer in a high growth environment. The General Counsel is responsible for advising the senior executive team with respect to the legal implications of all major decisions, strategies, and transactions of the Company, negotiating or reviewing and approving all material contracts and agreements between the Company and its partners, coordinating and overseeing the activities of outside counsel representing the Company, providing advice and counsel to Company executives concerning matters of Company policy and risk management, and seeking to ensure compliance with such policies and minimization of risks to the Company. This role will report directly to the President and Board of Directors.

Responsibilities:

Counsels the C-Suite with respect to the legal implications of the Company’s major decisions, strategies and transactions; Provides day-to-day advice and counsel to Company executives with respect to corporate governance, risk management, corporate policies and designated loss prevention; Drafts and reviews contracts and agreements between the Company and its partners, employees, or any third parties including operating agreements, merger agreements, manufacturing and supplier agreements, licensing and distribution agreements, real estate leases and financing agreements; Coordinates and supervises outside counsel retained on behalf of the Company, ensuring project completion and managing legal costs; Leads negotiations, drafting and management of due diligence process for strategic transactions; Manages all Company legal entity formation, state filings, maintenance, foreign qualifications, and good standings; Work cross-functionally with stakeholders across the company to proactively identify potential legal and regulatory issues and translate these into actionable solutions;
