Circularix LLC is a fast growing plastics recycling joint venture formed in 2022 between HPC Industries LLC and Macquarie Group’s Commodities and Global Markets group to produce and sell recycled polyethylene terephthalate (“PET”). With post-consumer needs greatly increasing in the space, Circularix intends to build and operate a series of PET recycling facilities across the U.S. with a total annual production capacity of more than 275 million pounds of recycled PET resin. Circularix has already completed construction of its first facility in Hatfield, PA and is planning further growth in the coming years to meet rising consumer demands.
This is an opportunity for an energetic and entrepreneurial candidate to join the management team as Circularix’s General Counsel and grow with the company. This role is based in Los Angeles, California. As the General Counsel, you will be part of the senior management team serving as the company’s head of legal and corporate secretary. Report directly to the CEO, sharing responsibility for the successful execution of the business’ ambitious growth plan. In addition to typical general counsel responsibilities, you will be expected to ramp up quickly on matters and issues specifically relevant to the plastics recycling industry and the company’s business. You will leverage and apply industry and market knowledge to provide input on strategy and have primary responsibility for negotiating and managing key commercial and corporate agreements for the business, including feedstock and offtake contracts, equipment and project finance credit lines and working capital facilities. You will also be a key contributor in ongoing stakeholder engagement, particularly with respect to future debt and equity capital raises.
Develop and maintain compliance with internal policies and procedures relating to corporate governance and company secretarial requirements. Partner with the CFO to oversee stakeholder management and engagement with the company's key creditors and equity investors. Partner with the CFO to work with external advisors and prospective investors to effectively manage future equity capital raises and debt refinancing. Actively participate in board and executive management meetings, providing legal advice and input on corporate strategy. Provide general corporate, commercial, and operational legal/risk management advice to the CEO and management team. Draft, review and negotiate debt finance transaction documents, including equipment financing facilities, project finance credit facilities and working capital facilities. Draft, review and negotiate bespoke feedstock and offtake agreements and manage third-party feedstocks supplier and offtake partner relationships. Manage and coordinate external legal counsel engaged by the company.
