About the Company:  About the Role: Redbud is hiring a Corporate Counsel to join our fast-growing team. The Corporate Counsel will be the second member of the legal team and own and scale a variety of initiatives across corporate, commercial and investment matters. This is a unique legal position focused on both the venture studio and portfolio company levels. Responsibilities: Primarily working with the General Counsel, VP of Finance and Operating Partner, the Corporate Counsel will: Prepare and file documents required for formation, governance, foreign entity qualification, withdrawal, merger, and dissolution of corporations, limited liability companies, partnerships, and other legal entities. Draft and manage execution of various financing documents, including but not limited to term sheets, convertible notes, subscription agreements, stock purchase agreements, etc. Draft board consents, stockholder resolutions and consents Create and maintain library of corporate governance documents and forms Serve as internal resource for information regarding corporate records, organizational structure, and other governance related items, including compiling responses to audit and diligence requests Coordinate signatures, notarizations, and legalization of various legal documents Assist with administration and updating of compliance programs as applicable Assist with business transactions and related due diligence Optimize engagement with outside corporate counsels. About You: JD from accredited law school and a member in good standing in either the California or Texas Bar Associations Minimum of 3-5 years of relevant law firm and in-house experience Experience working for fast-growth consumer products companies (or their investors) is a plus. Strong academic and professional credentials Outstanding written and communications skills Strong project management and organizational skills Flexibility to adjust to rapidly changing environments and priorities. Eagerness to learn new things across various regulated, fragmented industries and markets. Ability to work with a wide range of individuals, including senior management Perks: Potential for equity and or carry in the fund Base salary of 175-225 and 20% annual performance bonus Fully remote or hybrid in WLA/Austin/OC
