About the Role:

Redbud is hiring a Corporate Counsel to join our fast-growing team. The Corporate Counsel will be the second member of the legal team and own and scale a variety of initiatives across corporate, commercial and investment matters. This is a unique legal position focused on both the venture studio and portfolio company levels.

Responsibilities:

Primarily working with the General Counsel, VP of Finance and Operating Partner, the Corporate Counsel will: Prepare and file documents required for formation, governance, foreign entity qualification, withdrawal, merger, and dissolution of corporations, limited liability companies, partnerships, and other legal entities. Draft and manage execution of various financing documents, including but not limited to term sheets, convertible notes, subscription agreements, stock purchase agreements, etc. Draft board consents, stockholder resolutions and consents Create and maintain library of corporate governance documents and forms Serve as internal resource for information regarding corporate records, organizational structure, and other governance related items, including compiling responses to audit and diligence requests Coordinate signatures, notarizations, and legalization of various legal documents Assist with administration and updating of compliance programs as applicable Assist with business transactions and related due diligence Optimize engagement with outside corporate counsels.
