About the Role:

Have you always wanted to break into the world of startups and venture capital, but you're not an EC/VC attorney? This is a unique opportunity for a capital markets/securities associate to join a venture fund, as they expand their portfolio into public companies. No venture capital experience necessary. You'll have a critical role in helping to build out the legal function in this new part of the business. No two days will look the same, but you will be supported by an A-list legal team of three.

Responsibilities:

Act as a trusted advisor to the fund's Executive team on all legislative and regulatory developments affecting the business Lead drafting and filing of all securities and public reporting documentation; support all securities compliance matters, including working with finance and accounting teams to design and implement securities compliance processes Advise on M&A transactions and other strategic initiatives Collaborate with the legal and finance team on financing arrangements and other capital markets activities, board and corporate governance, and equity matters, including equity plans, capitalization, and compensation matters Advise on board and investor matters, including review of press releases, investor presentations, investor and board communications and other related disclosure materials Develop and maintain, and advise on, policies, procedures and controls to ensure corporate governance and securities compliance Collaborate with legal and compliance team members to enhance legal operations and processes Assist legal and compliance team members in other projects as needed, including product counseling and related research, marketing and promotional review and other matters Manage day-to-day interactions with business partners, outside counsel, and other stakeholders
