Job Overview

This is an exciting opportunity to join a fast-growing blockchain company as Product Counsel. You will play a pivotal role in advising product and compliance teams on the evolving legal landscape of blockchain and digital assets. If you have a strong background in fintech, blockchain, and digital asset regulation, this role will allow you to shape the future of innovative products in a dynamic environment.

 

Key Responsibilities
  • Lead securities law compliance under the Securities Act of 1933 and the Exchange Act of 1934
  • Prepare and review 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other public disclosures
  • Own the annual meeting process, including proxy drafting/coordination, governance disclosures, and shareholder proposals
  • Advise on Reg FD, insider trading compliance, and investor communications
  • Partner with Finance, Accounting, and Investor Relations to ensure accurate, consistent reporting and messaging
  • Support Board matters (materials, minutes, governance documentation)
  • Monitor SEC and market developments; brief leadership on regulatory changes and best practices
  • Provide decisive, business-minded advice in a fast-paced environment with minimal reliance on outside counsel

About You
  • 6–8 years of securities and corporate governance experience at a top firm or in-house public company legal team
  • Direct, issuer-side responsibility for SEC filings and hands-on proxy experience
  • Deep expertise in ’33/’34 Act filings, SEC disclosure rules, and corporate governance frameworks
  • Strong understanding of corporate law, public-company operations, and board governance practices
  • Excellent legal judgment, communication, and drafting; proven ability to juggle priorities and meet tight deadlines
  • J.D. from an accredited law school and licensed in at least one U.S. jurisdiction
  • A plus: experience leading annual/special shareholder meetings; background in financial services/fintech/digital assets; comfort in high-growth, tech-driven environments

 

Preferred Experience

  • Familiarity with non-custodial wallets, DeFi platforms, and international regulations around digital assets.
  • Experience working with regulatory bodies such as the SEC, CFTC, or international equivalents.
