Job Overview

As Senior Counsel for R&D and Innovation, you'll be more than just a legal advisor; you'll be a strategic partner. Your expertise will guide our R&D and Innovation teams through a complex landscape of global regulations and product development. Your role is pivotal, involving regulatory guidance, product launch strategies, and establishing an effective commercial framework. You will negotiate and draft complex commercial agreements, strategic partnering agreements and joint product development agreements concerning the development and sale of highly complex diagnostic devices and related reagents and consumables.

 

Key Responsibilities

  • Provide expert legal counsel to senior management on regulatory matters.
  • Deeply understand our product portfolio and anticipate legal implications of new initiatives.
  • Negotiate with key partners, suppliers, vendors, and (when appropriate) government agencies.
  • Draft, review, and negotiate a wide variety of commercial and strategic agreements to meet business and legal requirements, including procurement, OEM, supply, sales, distribution, research/validation collaborations, development & commercialization agreements.
  • Develop compliant solutions to navigate complex business challenges.
  • Collaborate cross-functionally across corporate business units/departments and network of affiliated companies to analyze and further business, regulatory and legal imperatives, and achieve optimal results while appropriately managing risk.
  • Counsel and educate business partners with regard to key policies, commercial initiatives and/or other relevant programs.
  • Draft and review terms and conditions, terms of use, FAQs, etc. relating to the design, sale and operation of our devices and/or other services.
  • Tackle special projects with strategic insight and creativity.

 

Qualifications

  • U.S. JD or LLM, with at least 7 years of relevant legal experience, including in-house and IP transactional work, preferably with a focus on R&D or emerging technologies.
  • Prior in-house experience with healthcare companies or highly regulated industries is a strong plus.
  • Proven ability to independently lead and execute all facets of challenging multi-disciplinary engagements with highest integrity and ethics.
  • Highly polished and effective negotiation, communication, listening and drafting skills, including those suitable for interaction with senior managers and executive leadership within a global and matrixed organization.
  • Exceptional communication skills across all channels, with the ability to articulate complex legal issues effectively in both ad-hoc and formal environments.
  • Familiarity with key elements of procurement, manufacturing, logistics, licensing and digitalization topics, intellectual property and distribution legal issues.
  • Working knowledge of the regulatory environments, including U.S. FDA regulations, anti-kickback laws, fraud and abuse statutes, software licensing and privacy laws applicable to animal diagnostics device manufacturers.
  • Solid knowledge of and/or capability to quickly build expertise in complex technical and regulatory environments.
  • Proven ability to work collaboratively in multi-disciplinary and international settings.
  • Innovative in developing legal strategies to support business objectives.
  • Admitted to practice law in the state of New York or Colorado.
