About the Role:

This role is ideal for an attorney that has been primarily transaction focused, with experience across multiple facets of the venture capital ecosystem and is interested in focusing on an industrial-tech portfolio within an established venture firm. You will assist on a wide range of legal issues, primarily deal execution, portfolio company support and fund administration/management, as well as contributing to the firm’s continued growth.

This is a hybrid position based in Menlo Park. Proximity to the office and leadership is important.

 

Key Responsibilities:

  • Act as general counsel to major portfolio companies (currently four such companies)
  • Guide the legal function for those portfolio companies for which you are not General Counsel, advising on general legal matters including governance, equity incentives, organized liquidity programs, and corporate transactions (debt financings, exits, and other strategic transactions).
  • Advise the team on corporate legal matters including but not limited to term sheet negotiations, deal structuring, board support and on-going general legal support for issues across the whole industrial portfolio.
  • Execute financing for new and follow-on investments as well as exits and liquidity transactions (including IPOs, M&A, tender offers, and secondaries).
  • Serve as a liaison with the investment team when managing outside counsel.
  • Work closely with the investment team without day-to-day supervision from Global General Counsel.

 

About You:

  • You have 8+ years of relevant legal practice experience advising start-ups and venture capital clients; you breeze through venture capital financing documents, provide corporate governance advice with ease, and have a fluent grasp of mergers and acquisitions. You are additionally comfortable rising to the challenge of performing in legal areas outside your core competence.
  • You’ve honed both strong business judgment to provide sound recommendations and effective project management skills to achieve decided results
  • You are a problem solver, energized and eager to bring the work to the best achievable solution, whether the job is large or small.
  • You understand the commercial rationale without neglecting attention to detail. You properly and efficiently prioritize broad commercial objectives without missing risks that lie in the details.
  • You are proactive and impeccable with time management.You know what you know, and perhaps more importantly, what you do not - and secure appropriate expertise when needed. You will be an excellent issue spotter without looking for problems for their own sake. You will find the issues and pursue the solutions to avoid last-minute shocks for the deal team.
  • You voice your independent opinions in a firm and fair manner. Sometimes you will have negative news to impart but in a constructive way. Willingness to share relevant opinions and perspectives to improve the organization. You will not recoil or over react when your views are resisted.
  • You will have strong skills in both verbal and written communication, including strong experience in tight legal drafting.
  • You must remain calm under pressure and remain effective and persuasive in achieving results.
